1. Agreement to These Terms
These Terms of Service (“Terms”) form a legally binding agreement between you and Magnetion LLC, doing business as AccessScope (“AccessScope,” “we,” “us,” or “our”).
These Terms govern your access to and use of the AccessScope website, customer dashboard, website scanning platform, reports, monitoring features, application programming interfaces, and related products and services collectively referred to as the “Services.”
By creating an account, purchasing a subscription, submitting a website for scanning, accessing a report, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy.
If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to both you and the organization.
If you do not agree to these Terms, you must not access or use the Services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Services.
You may not use the Services if you are prohibited from doing so under applicable law or if we previously suspended or terminated your access for violating these Terms.
3. Description of the Services
AccessScope provides automated website scanning and reporting tools intended to help customers identify potential privacy, tracking, security-related, accessibility, and website-quality concerns.
The Services may include:
- Privacy and third-party technology scans;
- Accessibility scans;
- Website crawling and page discovery;
- Detection of cookies, scripts, tags, pixels, embeds, and network requests;
- Automated issue identification;
- Reports, scores, summaries, recommendations, and exports;
- Historical comparisons and recurring monitoring;
- Issue-management and remediation-tracking features;
- Email notifications; and
- Other related products and services.
Features, limits, scan frequency, retention periods, report formats, and support levels may vary by subscription plan.
4. Automated Results and No Guarantee of Compliance
AccessScope uses automated software to analyze websites. Automated scanning has inherent limitations and may produce incomplete results, duplicate findings, false positives, false negatives, inconsistent results, or findings that require professional judgment and manual verification.
A scan represents the condition of the scanned pages and resources that were successfully accessed at or near the time of the scan. Websites, third-party services, browser behavior, legal requirements, and technical standards may change after a scan is completed.
Scan results do not guarantee that:
- Every page, resource, script, cookie, issue, or technology was detected;
- A website complies with any law, regulation, standard, guideline, or contractual obligation;
- A website is free from privacy, accessibility, security, or legal risk;
- Implementing a recommendation will establish or maintain compliance;
- A website will pass an audit, investigation, demand, certification, or legal review; or
- A website will be usable by every person or assistive technology.
You remain solely responsible for evaluating scan findings, determining which requirements apply to your organization, obtaining professional advice when appropriate, and implementing and validating any changes.
5. Not Legal Advice
AccessScope is a technology service and is not a law firm, accounting firm, certification body, accessibility conformance authority, or regulatory agency.
The Services, reports, scores, descriptions, recommendations, templates, and other content are provided for general informational and operational purposes only. They do not constitute legal advice, regulatory advice, an accessibility certification, an audit opinion, or a guarantee of compliance.
You should consult qualified legal counsel and other appropriate professionals regarding laws, regulations, standards, contracts, and obligations that apply to your organization.
6. Accounts
You may be required to create an account to access some or all of the Services. You agree to provide accurate, current, and complete account information and to keep that information updated.
You are responsible for:
- Maintaining the confidentiality of your login credentials;
- All activity occurring through your account;
- Using appropriate security controls;
- Restricting access to authorized users; and
- Promptly notifying us of suspected unauthorized access or security incidents.
You may not share an individual account with unauthorized persons, impersonate another person, or use false account information.
We may require you to verify your email address, identity, organization, domain ownership, payment information, or authority to use the Services.
7. Authorization to Scan Websites
You may submit a website, domain, page, or other online resource for scanning only when you have the legal right and authority to do so.
By submitting a website or URL, you represent and warrant that:
- You own or control the website;
- You are authorized by the website owner or operator to request the scan;
- The scan does not violate any agreement, policy, law, or third-party right;
- You are authorized to provide any configuration, credentials, or content supplied to AccessScope; and
- The scan will not be used to disrupt, damage, overload, probe, exploit, or gain unauthorized access to any system.
You authorize AccessScope and its service providers to access, crawl, render, interact with, analyze, capture, process, and store information from the submitted website as reasonably necessary to provide the Services.
We may limit, delay, refuse, or stop a scan if we believe it may be unauthorized, unlawful, abusive, unsafe, technically disruptive, or inconsistent with these Terms.
8. Customer Content and Scan Data
“Customer Content” means URLs, domains, configuration information, files, messages, instructions, credentials, content, and other materials you submit to the Services.
You retain ownership of your Customer Content. You grant AccessScope a non-exclusive, worldwide, royalty-free license to host, reproduce, process, transmit, display, modify, and otherwise use Customer Content as reasonably necessary to:
- Provide and support the Services;
- Perform requested scans;
- Create and retain reports;
- Prevent fraud and protect security;
- Improve the Services; and
- Comply with applicable law.
You are responsible for ensuring that Customer Content and its use through the Services comply with applicable law and do not infringe the rights of any person or organization.
Unless we expressly agree otherwise in writing, you must not submit protected health information, complete payment-card data, Social Security numbers, government identification numbers, highly sensitive personal information, trade secrets, or other regulated or confidential information that is not necessary for the Services.
9. Acceptable Use
You may not use the Services to:
- Violate any law, regulation, court order, or third-party right;
- Scan a website or system without sufficient authorization;
- Gain or attempt to gain unauthorized access to an account, system, network, or data;
- Conduct penetration testing, vulnerability exploitation, or security attacks;
- Distribute malware, malicious code, or harmful content;
- Interfere with or disrupt the Services or another website, server, or network;
- Overload infrastructure or generate unreasonable request volumes;
- Circumvent rate limits, access restrictions, security controls, or subscription limits;
- Scrape, copy, extract, or harvest information except through authorized Service features;
- Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services, except where such restrictions are prohibited by law;
- Resell, sublicense, timeshare, or provide the Services to third parties unless expressly authorized by your plan or a written agreement;
- Use scan results to harass, threaten, defame, mislead, or unlawfully pressure another party;
- Misrepresent a scan report as a certification, legal opinion, regulatory approval, or guarantee of compliance;
- Remove proprietary notices from the Services or reports;
- Use automated means to access the Services except through interfaces we expressly provide; or
- Assist another person in any prohibited activity.
10. Subscription Plans and Usage Limits
Access to certain features requires a paid subscription. Subscription plans may include limits based on websites, pages, scans, scan frequency, users, storage, report history, exports, features, or other usage measurements.
You agree not to exceed or circumvent the limits of your plan. We may enforce plan limits, pause scans, restrict features, apply reasonable overage charges disclosed in advance, or require an upgrade where usage exceeds the applicable limits.
We may modify, add, or remove plan features prospectively. Material changes to a paid plan will take effect as described in the notice we provide or at the next renewal, unless an earlier change is reasonably required for security, legal, or technical reasons.
11. Fees and Payment
You agree to pay all fees, taxes, and other charges associated with your account in accordance with the pricing and billing terms presented at the time of purchase.
Payments are processed through Stripe or another payment processor we designate. By providing a payment method, you authorize us and our payment processor to charge that payment method for all amounts due.
You represent that you are authorized to use the payment method associated with your account.
Except where required by law, fees are stated and charged in United States dollars and do not include applicable taxes. You are responsible for taxes, duties, levies, or similar governmental assessments associated with your purchase, excluding taxes based on our net income.
If a payment is declined, reversed, disputed, past due, or otherwise unsuccessful, we may retry the payment method and suspend or restrict access to paid features until the balance is paid.
12. Automatic Renewal
Paid subscriptions automatically renew for successive billing periods unless canceled before the renewal date.
By purchasing a recurring subscription, you authorize AccessScope and its payment processor to automatically charge the applicable subscription fee and taxes to your payment method at the beginning of each renewal period.
Subscription pricing may change upon advance notice. Unless otherwise stated, updated pricing will apply beginning with your next renewal after the price change takes effect.
13. Cancellation
You may cancel a subscription through your account billing settings or by contacting us at our help desk: Open New Support Request.
Cancellation stops future automatic renewals. Unless otherwise stated at the time of purchase, you will retain access to paid features through the end of the current paid billing period.
Deleting an account or discontinuing use of the Services does not automatically cancel an active subscription unless the cancellation process has been completed.
14. Refunds
Except where required by applicable law or expressly stated in a separate written refund policy, subscription fees and other payments are non-refundable and will not be prorated for partial billing periods, unused scans, unused features, account inactivity, downgrades, or early cancellation.
We may issue a credit or refund at our sole discretion. A discretionary refund in one instance does not create an obligation to provide refunds in other instances.
15. Free Trials and Promotions
We may offer free trials, promotional pricing, credits, or other offers. Additional terms disclosed with an offer will apply.
Unless otherwise stated, a free trial may automatically convert to a paid subscription at the end of the trial period. You must cancel before the trial ends to avoid being charged.
We may modify, suspend, or terminate an offer where permitted by law, including where we suspect fraud, abuse, duplicate accounts, or an attempt to circumvent eligibility restrictions.
16. Intellectual Property
The Services, including their software, source code, object code, design, layout, text, graphics, logos, workflows, scanning methods, databases, reports, templates, documentation, and other content provided by AccessScope, are owned by AccessScope or its licensors and are protected by intellectual-property laws.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your internal business purposes during the applicable subscription period.
No rights are granted except as expressly stated in these Terms.
17. Reports and Permitted Sharing
You may download, reproduce, and share reports generated for websites you are authorized to scan, subject to your subscription plan and these Terms.
When sharing a report, you must not:
- Materially alter the report in a misleading manner;
- Remove disclaimers or proprietary notices;
- Represent that AccessScope has certified or approved the scanned website;
- Represent that the report is legal advice or a complete compliance audit; or
- Use the report to make a false, deceptive, defamatory, or unlawful claim.
18. Feedback
If you submit suggestions, ideas, enhancement requests, recommendations, or other feedback, you grant AccessScope a perpetual, worldwide, irrevocable, royalty-free, transferable, and sublicensable right to use that feedback without restriction or compensation.
This provision does not transfer ownership of your Customer Content or confidential business information merely because it is included in a support request.
19. Third-Party Services
The Services may depend on or integrate with third-party services, websites, libraries, browsers, hosting providers, payment processors, email providers, and other technologies.
We do not control third-party services and are not responsible for their availability, accuracy, security, privacy practices, content, or performance. Your use of a third-party service may be subject to separate terms and policies.
The presence of a third-party technology in a scan report does not imply an endorsement, partnership, legal conclusion, or determination that the technology is unlawful.
20. Service Availability and Changes
We aim to provide reliable Services, but we do not guarantee uninterrupted, timely, secure, or error-free operation.
Scans may be delayed, blocked, incomplete, or affected by:
- Website availability or performance;
- Firewalls, bot protection, authentication, or rate limiting;
- Robots directives and access controls;
- Network, browser, DNS, hosting, or third-party failures;
- Dynamic, personalized, geographically restricted, or consent-dependent content;
- Changes to websites, browsers, standards, or third-party services; and
- Scheduled or emergency maintenance.
We may modify, update, suspend, discontinue, or restrict any portion of the Services. Where commercially reasonable, we will provide advance notice of a material discontinuation of paid Services.
21. Beta and Experimental Features
Features identified as alpha, beta, preview, experimental, early access, or similar may be incomplete, inaccurate, unstable, or discontinued without notice.
Such features are provided “as is,” may be subject to additional terms, and should not be relied upon for critical decisions.
22. Confidentiality
Each party may receive non-public information that is identified as confidential or that reasonably should be understood to be confidential.
The receiving party will use reasonable care to protect confidential information and will use it only to perform obligations or exercise rights under these Terms.
Confidential information does not include information that:
- Is or becomes public through no breach of these Terms;
- Was lawfully known without a confidentiality obligation;
- Is received lawfully from a third party without a confidentiality obligation; or
- Is independently developed without use of the other party’s confidential information.
A party may disclose confidential information when required by law, provided it gives notice when legally permitted and reasonably cooperates with efforts to seek protective treatment.
23. Suspension and Termination
We may suspend or terminate your access to some or all of the Services if:
- You violate these Terms;
- Payment is overdue or unsuccessful;
- Your use creates security, legal, operational, or reputational risk;
- We suspect fraud, abuse, or unauthorized scanning;
- Suspension is necessary to protect the Services or another party;
- We are required to do so by law; or
- We discontinue the applicable Services.
You may stop using the Services at any time. Cancellation and account deletion remain subject to the payment, refund, and retention provisions of these Terms.
Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination will remain in effect, including provisions relating to payment obligations, ownership, confidentiality, disclaimers, indemnification, limitations of liability, and dispute resolution.
24. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL REPORTS, RESULTS, RECOMMENDATIONS, CONTENT, AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ACCESSSCOPE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
ACCESSSCOPE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, COMPLETE, OR ACCURATE, OR THAT EVERY ISSUE WILL BE DETECTED OR CORRECTLY CLASSIFIED.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCESSSCOPE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCESSSCOPE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- The AMOUNTS YOU PAID TO ACCESSSCOPE FOR THE SERVICES DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED UNITED STATES DOLLARS (US $100).
These limitations apply regardless of the form or theory of liability and even if a remedy fails of its essential purpose.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, these limitations apply only to the maximum extent permitted by law.
26. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless AccessScope and its owners, officers, employees, contractors, affiliates, licensors, and service providers from and against claims, demands, actions, liabilities, judgments, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- Your use or misuse of the Services;
- Your Customer Content;
- A website or system you submit for scanning;
- Your lack of authorization to perform a scan;
- Your violation of these Terms or applicable law;
- Your infringement or violation of another party’s rights; or
- Your use, interpretation, distribution, or implementation of a scan report.
We reserve the right to control the defense and settlement of any matter subject to indemnification. You agree to cooperate reasonably with that defense.
27. Governing Law and Venue
These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of [GOVERNING STATE], without regard to conflict-of-law principles.
Subject to any applicable dispute-resolution provision, the state and federal courts located in [COUNTY], [GOVERNING STATE] will have exclusive jurisdiction. You consent to the personal jurisdiction and venue of those courts.
28. Informal Dispute Resolution
Before filing a legal action, you agree to send a written description of the dispute to [LEGAL EMAIL ADDRESS] and allow us at least 30 days to attempt to resolve the matter informally.
The notice must include your name, account email address, a description of the dispute, relevant documents, and the resolution you are requesting.
This section does not prevent either party from seeking urgent injunctive or equitable relief where appropriate.
29. Electronic Communications
You consent to receive agreements, notices, disclosures, receipts, and other communications electronically, including by email or through the Services.
Electronic communications satisfy any legal requirement that a communication be in writing to the extent permitted by law.
30. Changes to These Terms
We may update these Terms periodically. When we do, we will update the “Last updated” date above.
If we make a material change, we may provide notice by email, through the Services, or by another reasonable method. Updated Terms will become effective on the date stated in the notice or when posted, subject to applicable law.
Your continued use of the Services after updated Terms become effective constitutes acceptance of those Terms. If you do not agree to an update, you must stop using the Services and cancel any active subscription.
31. General Provisions
These Terms, the Privacy Policy, any applicable order form, and any additional terms expressly incorporated by reference constitute the entire agreement between you and AccessScope regarding the Services.
If a conflict exists between these Terms and a signed written agreement, the signed written agreement controls to the extent of the conflict.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, asset transfer, or by operation of law.
Our failure to enforce a provision is not a waiver of that provision. A waiver is effective only if made in writing by an authorized representative.
If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.
Headings are provided for convenience and do not affect interpretation.
Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.
These Terms do not create a partnership, franchise, joint venture, employment, fiduciary, or agency relationship between you and AccessScope.
